ReBorn Cycle Order Agreement
Parties
This Order Agreement ("Agreement") is entered into between ReBorn Cycle, located at [Insert Your Address], Turkey, Tax ID: [Insert Tax ID] (hereinafter referred to as the "Seller"), and [Buyer's Name and Address, Tax ID or ID Number] (hereinafter referred to as the "Buyer"), under the terms and conditions set forth below.
1. Subject of the Agreement
This Agreement governs the terms for the supply of products or services ("Product/Service") that the Buyer undertakes to purchase from the Seller, such as [e.g., "compost fertilizer production machine, model XYZ, 1 unit" or "consultancy services"]. The technical specifications, quantity, and price of the Product/Service are specified in the attached order form or quotation document.
2. Price and Payment Terms
2.1. The total price of the Product/Service is [Amount] TL (VAT included/excluded).
2.2. Payment shall be made via [payment method, e.g., bank transfer, credit card] by [payment terms, e.g., in full upfront or 50% upfront, 50% upon delivery].
2.3. Payments shall be made to the Seller’s [bank account details]. Failure to make payment may result in the Seller suspending delivery or services.
3. Delivery and Service Provision

3.2. Delivery costs shall be borne by [Seller/Buyer].

3.4. Upon delivery, the Buyer is responsible for inspecting the Product and notifying the Seller of any visible defects at the time of delivery.
4. Warranty and Returns
4.1. The Seller warrants the Product against material and workmanship defects for [warranty period, e.g., 2 years].
4.2. In case of defective Products, the Buyer must notify the Seller in writing within [period, e.g., 7 business days] from the delivery date.
4.3. Returns or repairs of defective Products shall be handled in accordance with the provisions of the Turkish Law No. 6502 on Consumer Protection.
5. Right of Withdrawal
The Buyer may exercise the right of withdrawal within 14 days from the delivery date of the Product. The right of withdrawal does not apply to services. The withdrawal notice must be sent to the Seller in writing, and the Product must be returned unused and in its original condition.
6. Force Majeure
In the event of force majeure circumstances (e.g., natural disasters, war, strikes) beyond the control of the parties, obligations may be suspended upon written notification, and neither party shall be held liable.
7. Dispute Resolution
Any disputes arising from this Agreement shall be resolved in [competent court, e.g., Istanbul Courts] in accordance with the laws of the Republic of Turkey.
8. Effectiveness
This Agreement shall take effect upon signing by both parties and remain valid until the Product/Service is delivered and payment is completed.
